Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website fitstat.in and all related services, including our fitness events and challenges, gym-operations products, and our online personal-training ("PT") marketplace and booking system (collectively, the "Platform"), operated by FitStat ("FitStat", "we", "us", "our"). By creating an account, registering for an event, browsing trainer profiles, or booking a session, you agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, Refund & Cancellation Policy, and Grievance Redressal Policy, each of which is incorporated into these Terms by reference. If you do not agree, please do not use the Platform.

The Platform is operated by FitStat Co, a Partnership Firm registered under GSTIN 29AAKFF9529R1ZA, with its registered address at Bengaluru, Karnataka - 560013.

1. Definitions

• "Trainer" means an individual who registers on the Platform to offer paid online personal-training sessions.
• "Customer" means an individual who registers on the Platform to book personal-training sessions or participate in FitStat events.
• "Session" means a scheduled online personal-training appointment booked through the Platform between a Trainer and a Customer.
• "Booking" means a Customer's paid reservation of a Session slot on a Trainer's published availability.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract under the Indian Contract Act, 1872 to register on the Platform. If you are between 13 and 18 years of age, a Session may only be booked by, and under the supervision of, your parent or legal guardian, who accepts these Terms on your behalf and takes responsibility for your participation. Information provided during registration (name, email, phone, and for Trainers, KYC details) must be accurate, current, and complete.

3. Nature of the Platform

FitStat operates the Platform as an online intermediary within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, connecting independent Trainers with Customers seeking online personal-training services. Trainers are independent contractors and are solely responsible for the fitness advice, coaching methodology, and conduct of each Session. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between FitStat and any Trainer or Customer. FitStat does not itself provide personal-training, medical, nutritional, or health advice.

4. Account Registration & Security

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must notify us immediately at hello@fitstat.in of any unauthorized use of your account.
• Repeated failed login attempts may result in a temporary account lock as a security measure.
• We may suspend or terminate accounts that provide false information or violate these Terms.

5. Trainer Obligations

• Trainers must provide accurate profile information, pricing, and weekly availability, and keep these updated.
• Trainer profiles are subject to admin review and approval before appearing publicly on the Platform, and FitStat may reject or later suspend a Trainer profile for incomplete, inaccurate, or unverifiable information, or for conduct inconsistent with these Terms.
• Trainers must upload genuine identity and certification documents (Government ID/PAN, Aadhaar, certifications) for verification, as described in our Privacy Policy.
• Trainers must conduct Sessions professionally, honor confirmed Bookings, conduct each Session exclusively through the Platform's own in-platform video calling feature, and treat Customer health and personal information as confidential.
• Trainers must not solicit Customers to book or pay outside the Platform to avoid the platform commission, or share personal contact details with a Customer to arrange a Session outside the Platform's video calling feature; doing so is grounds for immediate suspension.
• Trainers are solely responsible for the accuracy of the fitness guidance they provide and must not diagnose medical conditions or represent themselves as licensed medical practitioners unless they are one.

6. Customer Obligations

• Customers must provide accurate health-relevant information (e.g., body measurements, injuries, medical conditions) requested by a Trainer so Sessions can be conducted safely.
• Customers must attend confirmed Sessions on time and behave respectfully toward Trainers.
• Customers are responsible for having suitable space, equipment, and a stable internet connection to participate in an online Session.

7. Health & Safety Disclaimer

Personal-training Sessions and fitness content on the Platform are for general fitness and educational purposes and do not constitute medical advice, diagnosis, or treatment. You should consult a qualified physician before beginning any new exercise programme, particularly if you have a pre-existing medical condition, injury, or are pregnant. You participate in Sessions and events entirely at your own risk. FitStat is not liable for any injury, health complication, or loss arising from your participation in a Session or event, or from following any guidance provided by a Trainer.

8. Bookings, Pricing & Payments

• All prices are listed in Indian Rupees (INR) and are set by each Trainer, subject to applicable taxes.
• A Booking is confirmed only after successful payment through our payment partner, Razorpay. We do not store your card, UPI, or net-banking credentials.
• A Session is delivered via the Platform's own in-platform video calling feature — no third-party meeting link is used, and Trainers and Customers do not need to exchange personal contact details to conduct a Session. A "Join Session" option becomes available a short window before and after the scheduled Session time.
• Cancellations, rescheduling, and refunds are governed by our Refund & Cancellation Policy.

9. Trainer Commission & Payouts

FitStat charges Trainers a platform commission, expressed as a percentage of each Booking's value and communicated to the Trainer at the time of approval. Trainer payouts (Booking amount less commission) are processed on a weekly cycle for Sessions that are marked completed, approved by our admin team, and meet the applicable minimum Customer-rating threshold, and are transferred to the bank account details the Trainer has provided and had verified. FitStat may withhold a payout pending resolution of a dispute, chargeback, or suspected fraud relating to the underlying Booking.

10. Ratings & Feedback

After a Session, Customers and Trainers may each rate and leave feedback on the other. Ratings and feedback must be honest and must not be defamatory, harassing, or knowingly false. FitStat may use Customer ratings of a Trainer as one factor in payout eligibility and in decisions to review or suspend a Trainer's account. FitStat may also collect general feedback about the Platform to improve our services.

11. KYC & Document Handling

Identity and verification documents (including PAN, Aadhaar, and certification uploads, and bank account details) collected from Trainers are used solely for verification, fraud prevention, payout processing, and legal/regulatory compliance, and are stored with field-level encryption as described in our Privacy Policy.

12. Intellectual Property

All content on the Platform — including the FitStat name and logo, text, graphics, and software — is owned by or licensed to FitStat and is protected under Indian copyright and trademark law. You may not copy, reproduce, or create derivative works from Platform content without our prior written consent. You retain ownership of content you upload (e.g., a Trainer's profile bio or certifications) but grant FitStat a limited licence to display it on the Platform for the purpose of operating the marketplace.

13. Prohibited Conduct

You must not: (a) impersonate any person or misrepresent your identity or credentials; (b) upload forged or fraudulent KYC documents; (c) harass, threaten, or discriminate against another user; (d) attempt to circumvent Platform payments, or conduct a Session outside the Platform's video calling feature by exchanging personal contact details for that purpose; (e) submit false challenge/event data; (f) probe, scan, or interfere with the security of the Platform; or (g) use the Platform for any unlawful purpose.

14. Third-Party Services

The Platform integrates third-party services, including Razorpay (payments) and WhatsApp (customer support). Your use of these services is also subject to their respective terms and privacy policies. FitStat is not responsible for the acts or omissions of these independent third parties.

15. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, FitStat disclaims all warranties, express or implied, regarding uninterrupted availability, accuracy of Trainer-provided information, or fitness for a particular purpose.

16. Limitation of Liability

To the maximum extent permitted by applicable law, FitStat's aggregate liability arising out of or relating to these Terms or your use of the Platform shall not exceed the amount you paid for the specific Booking giving rise to the claim. FitStat shall not be liable for any indirect, incidental, or consequential loss, including loss arising from a Trainer's conduct or advice, which remains the Trainer's sole responsibility.

17. Indemnification

You agree to indemnify and hold FitStat harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or, in the case of a Trainer, the advice or conduct provided during a Session.

18. Suspension & Termination

We may suspend, reject, or terminate any account — including a pending or already-approved Trainer profile — that violates these Terms, fails KYC verification, or receives a pattern of poor Customer ratings, with notice where reasonably practicable. You may close your account at any time by contacting us.

19. Grievance Redressal

If you have a complaint about a Booking, a Trainer, a Customer, a payment, or any other aspect of the Platform, please see our Grievance Redressal Policy for how to reach our Grievance Officer and our resolution timelines.

20. Force Majeure

FitStat shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including internet or power outages, payment-gateway downtime, or governmental action.

21. Severability & Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force. These Terms, together with our Privacy Policy, Cookie Policy, Refund & Cancellation Policy, and Grievance Redressal Policy, constitute the entire agreement between you and FitStat regarding the Platform.

22. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

23. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to the grievance redressal process above, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Platform.
